You built a company that makes money. Then you noticed something. Every time profit moves, someone takes a cut. The company pays its tax. Then you take a dividend and pay tax again. You want to start a second business, buy into a deal or put money aside for later, and you have to take it out personally first, pay the tax, and only then invest what is left. And if one day you sell the company, a large slice of the life's work goes to the tax office on the same day.

That is not bad luck. It is what happens when you own everything in your own name. The people who keep more do one thing differently: they put a company between themselves and their businesses. A holding. And for owners in Europe, one of the most generous places to put it is Cyprus.

This guide shows you, in plain words and simple numbers, how a Cyprus holding lets you keep more of every euro you earn, and shields what you have already built from the risks of the businesses that are still building. It is the structure serious owners use. Here is how it works, who it fits, and how we set it up so it holds.

The problem: money that gets taxed every time it moves, and sits exposed while it waits

When you own your companies personally, every step from the business to your pocket is a taxable event. Profit cannot move sideways from one of your companies to another, or into a new project, without first passing through you. Each pass costs you tax, even when you did not need the money for yourself and only wanted to put it back to work.

Over the years this adds up to a lot of capital that never gets the chance to grow. A holding fixes the route the money takes.

A holding in one picture

Picture three levels.

  • At the top: you.
  • In the middle: your holding company. It owns the shares of your businesses. It does not sell anything to customers. Its job is to own, collect and reinvest.
  • At the bottom: your operating companies. The ones that trade, employ people and make profit.

Profit goes up from the operating companies to the holding as dividends. When you sell a business, the holding sells it. The money then sits in the holding, ready to be invested in the next thing. You decide when, and how much, to take out for yourself.

The whole idea rests on one question: how much tax does the middle level pay? In Cyprus, for the things a holding normally does, the answer is very often 0% Cyprus tax, if the conditions below are met.

The EU passport: dividends cross the border with no withholding tax

This is the part most owners have never heard of, and it changes everything. Cyprus is in the EU, so the EU Parent-Subsidiary Directive applies. In plain words: when your company in another EU country pays a dividend to your Cyprus holding, that country takes no withholding tax on it, once the directive's conditions are met.

  • Your Romanian SRL pays its profit up to the Cyprus holding with no Romanian withholding tax, once the holding owns at least 10% and has held it for at least one year.
  • Your German GmbH pays up with no German withholding tax, once the holding owns at least 10% for at least 12 months, carries on its own activity (German anti-abuse rule, § 50d(3) EStG) and has an exemption certificate from the German Federal Central Tax Office.
  • Your company in another EU country follows the same directive, with that country's own minimum holding, holding period and anti-abuse rules.

And when the dividend arrives in Cyprus, the holding normally pays no Cyprus corporate tax and no SDC on it, if the conditions are met. Profit moves from your trading company to your holding in full, ready to be reinvested. We check the conditions for your country before the first euro moves.

Protect what you built: a firewall between your wealth and your business risk

Tax is only half the story. The other half is keeping what you have already earned. Every business carries risk: a customer who sues, a contract that goes wrong, a supplier who goes bust, a tax audit, a bad year. When everything sits in one company, or in your own name, one problem can reach everything. A holding builds walls.

  • Each company stands on its own. Every subsidiary is a separate company with limited liability. Its debts are its own. A lawsuit against one of your companies is a claim against that company, not against your other companies and not against the holding.
  • Profit moves up, out of the line of fire. When your operating companies pay dividends up to the holding regularly, the cash stops sitting where the risk is. It sits one level higher, in a company that does not trade, has no customers and signs no risky contracts.
  • Your valuable assets stay apart from the risky trading. Brand, software and other intellectual property, property, cash reserves: these can belong to the holding or to a separate sister company, while the operating company only uses them under a written agreement at a market price. If the trading business gets into trouble, the assets you spent years building are not on its balance sheet.
  • One fire does not burn the whole house. If one company fails, the others keep trading and the reserves in the holding stay where they are.

A simple example. Your Romanian SRL makes a good profit for three years, and every year it pays that profit up to your Cyprus holding as a dividend. In year four, a customer sues the SRL over a project. The claim is against the SRL. The profit already paid up in previous years, lawfully, out of real profits, while the SRL could pay its debts and there was no dispute, sits in the holding, not in the SRL. Your other companies are not part of the case either.

And this works whether you move to Cyprus or not. The piggy bank you fill for the tax reasons is also a safe.

The protection is real, as long as the money moved up before any trouble. If the operating company gets into difficulty, its creditors cannot reach the holding or your shares in it; only payments made while the company was already unable to pay its debts, or made to put money out of creditors' reach, can be challenged. Courts can look through a holding that is a sham or run by a nominee. Debts you guaranteed personally stay with you.

What a Cyprus holding gives you: seven advantages working together

Seven advantages work together. Six save you tax. The seventh protects everything else.

  1. No Cyprus corporate tax on dividends it receives. Dividends a Cyprus company receives from its subsidiaries are exempt from corporate income tax, and normally outside the Special Defence Contribution (SDC) as well. There is no minimum percentage you must own and no minimum period you must hold the shares, which is rare in Europe. What it means for you: profit from your businesses arrives in the holding whole.
  2. No Cyprus income tax when it sells a company. Gains from selling shares are exempt from income tax in Cyprus, with no minimum holding. The only Cyprus tax that can apply is 20% capital gains tax on the part of the gain that comes from property in Cyprus, where the company sold owns such property directly or indirectly. What it means for you: when you sell a business through the holding, the full price stays available to reinvest.
  3. No Cyprus tax deducted when it pays you. Cyprus does not withhold tax on dividends paid to shareholders who live abroad. The exceptions hit only associated parent companies (more than 50%) in EU-blacklisted jurisdictions (17%, since 2022) or in listed low-tax jurisdictions (5%, from 2026), which a normal family structure does not use. What it means for you: Cyprus does not take a slice on the way out.
  4. Access to the EU rules for groups. Cyprus is in the EU, so the Parent-Subsidiary Directive applies. Under it, an EU subsidiary can pay dividends to its Cyprus parent with no withholding tax in its own country, if the parent holds at least 10% and meets the holding period and anti-abuse rules of that country. What it means for you: money moves across EU borders without a toll.
  5. A wide network of tax treaties. Cyprus has tax treaties with the main economies, including Germany, the UK, the US, Switzerland, the UAE and Singapore. What it means for you: subsidiaries outside the EU can often pay up to Cyprus at reduced or nil withholding.
  6. Profits can stay inside without a penalty. The old rule that treated part of a company's profit as paid out after two years has been abolished for profits from 2026. What it means for you: you can keep money in the holding as long as you like and invest it when the right opportunity comes.
  7. A firewall around your wealth. Each subsidiary has limited liability, and the profit it pays up sits in the holding, apart from the trading risk. What it means for you: a lawsuit or debt in one company does not reach your other companies or the reserves in the holding, as long as the structure was in place before the claim, is run properly and the holding has not guaranteed that company's debts.

And what about the 15% corporate tax? Cyprus raised its rate from 12.5% to 15% in 2026. For a holding it rarely matters, because its main income, dividends and gains on shares, is exempt. The 15% applies to other income, such as interest or fees it charges.

The bonus if you move to Cyprus. If you become Cyprus tax resident with Non-Dom status, the dividends you take from your holding carry no SDC and no income tax. You pay only the health contribution (GESY) of 2.65%, on income up to EUR 180,000 a year. Non-Dom status is available for up to 17 years. After that, a 2026 rule lets you extend it for up to two further 5-year periods for EUR 250,000 each. That is when a Cyprus holding turns from a good structure into an exceptional one. Our guide to Non-Dom dividends and no SDC explains how the status works.

Three examples in numbers

Illustrative examples with round figures. They show the mechanism, not your result. They assume the conditions described in this guide are met and ignore fees and personal circumstances. Your own numbers depend on where you and your companies are.

1. Reinvesting EUR 300,000 of profit

Your EU operating company has EUR 300,000 left after paying its own corporate tax, and you want to put it into a new business.

  • Without a holding: you first take it as a personal dividend. At an illustrative personal dividend tax of 25%, EUR 75,000 goes in tax. You invest EUR 225,000.
  • With a Cyprus holding: the company pays the dividend to the holding. No withholding under the EU directive, no Cyprus corporate tax or SDC on the dividend at the holding. The holding invests EUR 300,000.

EUR 75,000 more working for you, from day one. Personal tax comes only when you take money out for yourself, and if by then you live in Cyprus as a Non-Dom, that is where example 3 comes in.

2. Selling a company with a EUR 2,000,000 gain

You built a business and a buyer pays you EUR 2,000,000 more than it cost you.

  • Held personally: at an illustrative personal rate of 25% on the gain, EUR 500,000 goes in tax and EUR 1,500,000 is left.
  • Held by a Cyprus holding run from Cyprus, in place well before the sale: Cyprus tax on the gain is EUR 0. The full EUR 2,000,000 stays in the holding, ready for the next investment.

3. Taking EUR 200,000 a year as a Non-Dom in Cyprus

You live in Cyprus with Non-Dom status and the holding pays you a dividend of EUR 200,000, your only income that year.

  • SDC: 0%. Income tax on the dividend: none.
  • GESY: 2.65% on EUR 180,000 = EUR 4,770.
  • You keep EUR 195,230, an effective rate of about 2.4%.

These are the numbers that make owners reread this page. Tell us about your companies and we show you yours.

Who it fits best

  • Owners with two or more companies who want to move profit between them and into new projects without paying tax at every step.
  • Founders who may sell a business in the coming years and want the proceeds to stay invested.
  • Entrepreneurs who live in Cyprus or plan to move, and want the holding and their own Non-Dom status to work together.
  • Families building long-term wealth who want one place where shares, cash and new investments sit, inside the EU.
  • Groups with companies in several countries that need a neutral, EU-based top company with good treaty access.

The owners who get the most from it share one habit: they treat the holding as the centre of their business life, not as a mailbox. They sit on the board, take their decisions in Cyprus and grow their group from there. That is the circle we build for.

Not ready to move yet? That is exactly when a Cyprus holding starts working for you. Here is the strategy our clients use.

Not moving yet? Use the holding as your piggy bank

You do not have to move to Cyprus on day one. Many owners start with the holding and move later, when the numbers make it worth it.

  1. Fill the piggy bank. Your trading companies pay dividends up to the Cyprus holding, under the EU directive with no withholding tax, and with no Cyprus corporate tax or SDC on them in the holding, under the conditions above.
  2. Let it grow. The holding keeps the money, reinvests it, buys stakes in new businesses or other investments. For profits from 2026 onward, there is no rule forcing it to pay out. The money also sits apart from the day-to-day risks of your trading companies, which gives some asset protection.
  3. Move when it is worth it. When the amount justifies it, you become Cyprus tax resident, for example under the 60-day rule: at least 60 days in Cyprus in the year, no more than 183 days in any other single country, a business, job or directorship in Cyprus that is not ended before the year is over, and a home in Cyprus, owned or rented.
  4. Take it out with no SDC. With Non-Dom status, the dividends the holding pays you carry no SDC and no income tax, only the 2.65% health contribution (GESY), on income up to EUR 180,000 a year. Your home country may still tax the profits built up before you leave, for example through an exit tax, so we plan the move first.

For this to work, the holding has to be set up right from the start: real management in Cyprus, enough substance, and your home country's rules on controlled foreign companies, place of management and moving abroad checked in advance. That is exactly what we handle for you, so the piggy bank is ready when you are.

What makes it work, and how we set it up right

The benefits above belong to holdings that are genuinely Cypriot. This is what we put in place for you, through licensed partners, from day one.

  • Real management in Cyprus. A company is taxed where it is really run. We set up a board with a Cyprus majority, real meetings in Cyprus, a Cyprus bank account and records kept there. It is strongest when you live in Cyprus and sit on the board yourself. See our guide to place of effective management.
  • A clean ownership chain. You own the holding yourself, or through a company in a normal tax country. Associated parent companies in listed low-tax jurisdictions trigger 5% withholding on dividends, and those in EU-blacklisted jurisdictions 17%, so we keep them out.
  • Your home country checked first. If you still live elsewhere, your country taxes the dividends you take, may apply its controlled foreign company (CFC) rules to passive income of the holding, and may have an exit tax when you move shares or leave. We check all of this with licensed advisers before anything moves.
  • The right timing. For a sale, the holding should be in place and running well before a buyer appears.
  • Subsidiaries that qualify. Dividends from trading companies arrive with no Cyprus corporate tax and no SDC. For mainly passive subsidiaries in very low-tax places, a 5% SDC can apply, so we check each one.
  • Protection set up in good time. Asset protection works only if the holding exists and the profit moves up regularly before any dispute or debt appears. Transfers made to defeat creditors can be reversed, sometimes years later, and personal guarantees and directors' liability stay with the person.

Done this way, the structure is simple to live with and is built to answer the questions banks and tax offices ask.

FAQ

Does a Cyprus holding pay tax on dividends it receives?

Normally no. They are exempt from corporate income tax unless they were a deductible expense for the company paying them. SDC of 5% applies only if the subsidiary is mainly passive and its foreign tax is less than half the Cyprus tax.

Is there a minimum shareholding?

Not in Cyprus. There is no minimum percentage or holding period for the dividend and share-sale exemptions. The subsidiary's country may set its own conditions for withholding relief.

Does Cyprus tax the dividends the holding pays me?

If you live abroad, Cyprus withholds nothing. If you live in Cyprus as a Non-Dom, you pay no SDC and only GESY of 2.65% on income up to EUR 180,000. Domiciled Cyprus residents pay 5% SDC on dividends from 2026 profits.

What is the Cyprus corporate tax rate in 2026?

15% on taxable profit from 1 January 2026. For a holding it mainly applies to income such as interest or fees, not to exempt dividends and share gains.

Do I need to live in Cyprus?

No, but you get the full benefit if you do. If you live elsewhere, your home country taxes the dividends you take and will look at where the company is really managed.

Is the old deemed dividend rule gone?

For profits from 2026, yes. A transitional rule still deems 70% of 2024 and 2025 profits distributed for Cyprus resident shareholders, so those years need a check.

Does a Cyprus holding protect my assets if one of my companies is sued?

Yes, within limits. Each subsidiary has limited liability, so its creditors can claim against that company, not against your other companies or the profit already paid up to the holding in the ordinary course. Transfers that harm creditors can be reversed, especially once a dispute exists, and personal guarantees and directors' liability are not covered, so the structure must be set up early.

Your next step

Write down three things: which companies you own and where, where you live today and where you might live, and what you want the profits to do in the next five years. With that, one conversation is enough to tell you whether a Cyprus holding fits, and what it can do for you.
